Terms of Service

Please read these Terms of Service ("Terms") carefully before using the LMSA: Chat with LM Studio mobile application ("App") provided by TechMitten LLC ("we", "us", or "our").

By clicking "I Agree" or by downloading, installing, or using the App, you ("User") agree to be bound by these Terms between you and TechMitten LLC. If you do not agree to these Terms, you may not use the App. Your use of LMSA is also governed by our Privacy Policy and Fair Usage Policy.

1. Age Restriction

You must be at least 18 years old to use this App. By using this App, you represent and warrant that you are at least 18 years of age. The App is not intended for use by minors. If you are under 18, you are not permitted to use this App. Any misrepresentation of your age will be a material breach of these Terms and may result in immediate termination of your access to the App without liability to the developer.

2. Description of Service

LMSA is a mobile application that acts as a client interface for multiple AI backends. The App supports the following backend types:

• LM Studio: A local AI server application that runs on your personal computer ("PC"). When using LM Studio, LMSA communicates exclusively over your local network.
• Ollama: A local AI server application that runs on your personal computer or another device on your local network. When using Ollama, LMSA communicates exclusively over your local network.
• OpenRouter: A cloud-based AI routing service that provides access to a variety of AI models hosted by third parties. See Section 6 for full details on OpenRouter usage, data handling, and financial responsibility.

For local backends (LM Studio and Ollama), the App functions as a local client with no external data transmission through our servers.

3. Acknowledgment of Operation Mode

You acknowledge and agree that:

• Local backends (LM Studio, Ollama): The App does not connect to any external internet servers operated by the developer of this App. All communications occur exclusively over your local network between your Android device and your local server.
• OpenRouter backend: All terms, data handling, financial responsibility, and liability disclosures specific to OpenRouter are consolidated in Section 6.
• The App's developer has no ability to access, view, store, or intercept any of your communications or chat history regardless of which backend you use. Your chat history is stored locally on your device.

4. Prohibited Uses and Acceptable Use Policy

You agree not to use the App for any unlawful purpose or in any way that could damage, disable, or impair the App or our services. Prohibited uses include, but are not limited to:

• Using the App for illegal activities (fraud, hacking, etc.)
• Harassing, threatening, defaming, or abusing any person or entity
• Attempting to gain unauthorized access to systems or accounts
• Reverse engineering or decompiling the App
• Using automated tools (bots, scrapers) without authorization
• Circumventing security measures or access controls
• Generating unlawful, harmful, or deceptive content
• Using the App to train AI models without authorization
• Violating intellectual property rights of TechMitten LLC
• Overwhelming the App with excessive requests (DDoS)
• Violating third-party terms (such as OpenRouter)

5. Intellectual Property Rights

App and Content Ownership: The App, including all software, code, design, graphics, trademarks, logos, and other content (collectively, "App Content"), is owned by TechMitten LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Restrictions on Your Use: You may not reproduce, distribute, modify, create derivative works of, reverse engineer, or otherwise exploit the App or App Content without our prior written consent.

Your Content and Chat History: Chat history and conversations generated through your use of the App are stored locally on your device and remain your property. However, once you transmit prompts or data to third-party AI services, you acknowledge that such third parties' terms apply to that data.

6. Third-Party AI Services: OpenRouter

The App integrates with OpenRouter, a cloud-based AI routing service that provides access to a variety of AI models hosted by third parties. When you use OpenRouter through LMSA, your prompts and AI responses are transmitted over the internet to OpenRouter's servers and the model providers they route to — not through TechMitten LLC's servers. By using OpenRouter through LMSA, you agree that:

• Your use of OpenRouter is subject to OpenRouter's Terms of Service and Privacy Policy.
• TechMitten LLC does not control and is not responsible for OpenRouter's data handling practices, content, or availability.
• Once you transmit prompts or data to OpenRouter, those third-party terms govern that data.

6.1 Zero Data Retention (ZDR)

For every chat request sent to OpenRouter, LMSA automatically applies OpenRouter's Zero Data Retention (ZDR) parameter and restricts requests to models OpenRouter lists as ZDR-compatible. By using the OpenRouter backend, you acknowledge and agree that ZDR is a feature of OpenRouter, not LMSA; that LMSA acts only as a conduit and does not control, oversee, or guarantee how OpenRouter or its underlying providers handle, retain, or train on data; and that TechMitten LLC is not liable if ZDR is not properly applied or honored by OpenRouter or any provider for any reason. Full details on how ZDR works, its limitations, and how to verify it are described in our Privacy Policy, which you acknowledge having read and understood.

6.2 OpenRouter Usage Fees and Financial Responsibility

TechMitten LLC will not assume liability for, reimburse, compensate, or indemnify you for any usage fees incurred through OpenRouter, including fees resulting from bugs, errors, or technical malfunctions in LMSA that cause unexpected API usage.

To manage your account responsibly, you should monitor your OpenRouter account regularly, set spending limits, and keep your API keys secure.

6.3 Web Search and Real-Time Data Feature

The App provides an optional Web Search (Live Search) feature that, when enabled, transmits your chat prompts to a third-party search-aggregator API which may query popular search engines to gather real-time information. This feature is disabled by default and requires your explicit activation.

• User consent: By enabling the Web Search feature you consent to the transmission of your prompts and related metadata to third-party services and to their processing of that data under their respective terms and privacy policies.
• Third-party practices: TechMitten LLC does not control and is not responsible for the data practices, retention policies, or security measures of any third-party search providers or aggregator services. Review those providers' policies before using the feature.
• User responsibility: Do not include personal, confidential, or sensitive information in prompts when using the Web Search feature. You are solely responsible for the content you submit.
• No liability for results: TechMitten LLC makes no guarantees regarding the accuracy, completeness, or suitability of information returned by third-party searches. We disclaim liability for decisions you make based on third-party search results.
• Potential costs: Use of third-party services may be subject to API usage limits, fees, or account-specific charges; you are responsible for any fees charged by those third parties.

6.4 Voice Mode (Speech-to-Text & Text-to-Speech)

The App includes an optional Voice Mode feature that allows you to conduct real-time conversation via voice input and speech feedback. By using Voice Mode, you acknowledge and agree that:

• Use of Native Transcription Services: Voice transcription is processed via your device's native speech recognition service (such as Google Speech Services on Android). This service may connect to Google/Android servers to process the audio, and its use is subject to the Google Privacy Policy and terms you accepted during your device's initial setup. TechMitten LLC does not collect, receive, or store your voice recordings.
• Native Text-to-Speech (TTS): Response playback is generated using your device's built-in text-to-speech engine. While many voice models process audio locally on the device, some native voice options require network processing by the device's native TTS service (these are marked with a "network" tag in the voice settings and represent pre-existing native options on your device).
• Conduit to Backend Models: Voice Mode functions by transcribing your voice to text on your device and sending only the resulting text prompt to your selected AI backend (such as LM Studio, Ollama, or OpenRouter). The backend models do not receive your voice or audio recordings.
• No Liability for Voice Services: TechMitten LLC has no control over and disclaims all liability for the performance, availability, accuracy, data collection, or practices of your device's native speech recognition and text-to-speech services (including any network-based processing performed by those native services).

7. Affiliation Disclaimer

This application is an independent, third-party product. This app is not developed by, endorsed by, sponsored by, or affiliated in any way with Google, LM Studio, Ollama, OpenRouter, or their respective creators. We utilize Google's platform solely for billing, distribution, and operational services. All product and company names are trademarks™ or registered® trademarks of their respective holders.

8. The App as a Conduit; No Control Over AI Models

You are solely responsible for all AI models you choose to download and use. AI Responses may be inaccurate, biased, offensive, or harmful. TechMitten LLC makes no representation regarding the safety of AI-generated content.

9. User Responsibility and Assumption of Risk

You are responsible for your use of the App and assume all risks associated with relying on AI-generated content. AI responses may be inaccurate, incomplete, biased, or offensive. You should not rely solely on the App for medical, legal, financial, or other professional advice. Verify information before acting on it, keep your API keys and credentials secure, and avoid submitting personal, confidential, or sensitive information. When using remote or third-party backends, you assume any network and third-party risks.

The service is provided on an "as‑is" and "as‑available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non‑infringement. We make no representations or warranties regarding the accuracy, reliability, or completeness of AI‑generated content.

12. Limitation of Liability

In no event will we be liable for direct, indirect, consequential, incidental, or punitive damages, including lost profit or lost data, even if advised of the possibility of such damages.

13. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless TechMitten LLC from and against any and all claims, liabilities, or expenses arising from your use of the App, your choice of models, or AI responses you receive.

14. No Professional Advice

AI Responses are not a substitute for professional advice. Always consult with a qualified professional for medical, legal, or financial matters.

15. Modification or Discontinuation of Service

TechMitten LLC reserves the right to modify, update, or discontinue the App or any features (including backend support) at any time without notice or liability.

16. Termination

The App's developer may, in its sole discretion, terminate or suspend your access to the App at any time, for any reason, including for a breach of these Terms.

17. User Feedback and Suggestions

You grant TechMitten LLC a worldwide, perpetual, royalty-free license to use any feedback or suggestions you provide without any obligation or compensation to you.

18. Entire Agreement and Severability

These Terms constitute the entire agreement. If any provision is found invalid, it shall be modified to the minimum extent necessary or severed, and remaining provisions shall remain in full force.

19. No Assignment

You may not assign your rights under these Terms. TechMitten LLC may assign these Terms in connection with a merger, acquisition, or sale of assets.

20. Survival

Sections including IP Rights, Indemnification, Liability, and Dispute Resolution shall survive any termination.

22. Export Control and Legal Compliance

The App may be subject to U.S. Export Administration Regulations (EAR). You agree not to re-export the App to prohibited countries or entities.

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, USA.
